The paper studies the range of problems of identifying the most outlined contradictions of economic and institutional interests of the elites and the society. In the given article the theoretical aspects of research of contradictions of economic and institutional interests are examined, the concept of ``institutional trap'' is characterized. The problems of Georgian institutional policy are identified, a special role of the elites in the dynamics of institutional reforms and improving the economic wellbeing of the population is highlighted. The contradictions of economic and institutional interests in Georgia are characterized, the possibility of identifying these contradictions as a characteristic of the Post-Soviet countries with transitive economy is revealed. The relationship of the contradictions between economic and institutional interests are described, opportunities to address these problems with the economic reforms and social transformations in the country under analysis are characterized. The recommendations for resolution of the identified conflicts of economic and institutional interests of the elites and society in the countries with transitive economy (by the example of Georgia) are developed. By changing the state policy of such countries from short-term model to a long-term one is necessary for the realization of the country's human capital through such a model. At the same time it is advisable to create and implement a program of resolution of the interrelated conflicts of the shadow economy, institutional conflicts, which lead to inefficient forms of economic cooperation.
